The aim of this research is to examine the relationship between the dividends and the market value of shares listed in Iraqi stock Exchange (ISES)as well as affected by profitability ,free cash flow and financial leverage. We test this relationship by using multable regression analysis. The sample study consisted of (42)listed companies in Iraqi stock exchange distributed on the sectors of banks serviles and industry for the period 2010-2014 .Search results showed a relationship of statistical signify came between the distributed dividends and the market value of shares in researched sectors ,Also the lock of effect of financial leverage on the relationship between the distributed dividends and the market value of shares.

يهدف البحث الى يفحص العلاقة بين توزيعات الارباح والقيمة السوقية للاسهم المدرجة في سوق العراق للاوراق المالية , ومدى تأثره بالقدرة الربحية والتدفق النقدي الحر والرافعة المالية . وقد تم فحص هذه العلاقة بأستخدام تحليل الانحدار المتعدد .تكونت عينة البحث من 42 شركة مساهمة مدرجة في سوق العراق للاوراق المالية موزعة على قطاعات المصارف والمالية والخدمات والصناعية خلال الفترة 2010-2014.اظهرت نتائج البحث وجود علاقة ذات دلالة احصائية بين الارباح الموزعة والقيمة السوقية للاسهم في القطاعات عينة البحث كما بينت نتائج البحث عدم وجود اثر للرافعة المالية على العلاقة بين الارباح الموزعة والقيمة السوقية للاسهم .
